Terms of Service

Thanks for using Microagents! Please read these Microagents Terms of Service (the "Terms") carefully. They govern your access to and use of Microagents' cloud-based automation technology services available at microagents.io after logging into your Microagents Account, Microagents APIs, and any updates, upgrades, modified versions, extensions, improvements, and derivative works of the foregoing (collectively, the "Service").

Microagents LLC is an Estonian corporation, and in these Terms, we will reference ourselves as "Microagents" or "we"/"us".

"You" means the entity that you represent in accepting these Terms. You represent and warrant that (i) you have full legal authority to bind your employer or such entity to these Terms; (ii) you have read and understand these Terms; and (iii) you agree to these Terms on behalf of such employer or entity.

Definitions

For the purposes of these Terms:

  • Account Information means information about your Microagents account and information that you and your users provide to Microagents in connection with (i) the creation or administration of your Microagents account; or (ii) Microagents' maintenance of your Microagents account or the Service.
  • Customer Content means any information, content, or materials that you submit through the Service to your Microagents Account, including from Third-Party Services.
  • Documentation means Microagents-provided user documentation relating to the Service found in our help center, as may be updated by Microagents from time to time.
  • Feedback means feedback, comments, ideas, proposals, and suggestions for improvements, along with associated context, whether regarding the Service or any other products, services, or business of Microagents.
  • Fees mean the fees applicable to your use of the Service in accordance with the applicable subscription plan as included in our pricing notice included in the Service or on Microagents' website.
  • Third-Party Services means any third-party service, connection, site, platform, application, software, or integration that interoperates with the Service.
  • Usage Information means analytics data, including metadata, relating to the provision, use, and performance of various aspects of the Service and related systems and technologies.

1. Account Registration and Use

To access and use the Service, you must register for a Microagents Account. You must provide accurate, complete, and current Account Information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Subscription and Payments

Some features of the Service are only accessible through a paid subscription. You will be billed in advance on a recurring basis according to your chosen subscription plan. Unless you cancel before your renewal date, your subscription will automatically renew for the same duration at the then-current price.

3. Intellectual Property Rights

The Service, including all its original content (excluding Customer Content), features, and functionality, are and will remain the exclusive property of Microagents LLC and its licensors. This includes our logo, visual design, trademarks, and all other intellectual property.

4. Your Content and Data

You retain all rights to your Customer Content. By using the Service, you grant us a license to host, store, transfer, and display your Customer Content as necessary to provide the Service.

5. Feedback and Suggestions

If you provide any feedback or suggestions about the Service, you hereby grant us all rights to use and fully exploit such Feedback without any obligation to provide attribution or compensation to you.

6. Third-Party Services

The Service integrates with various Third-Party Services. We are not responsible for any Third-Party Services or their content, functionality, or availability. Your use of Third-Party Services is subject to their respective terms and privacy policies.

7. API Usage and Rate Limits

  • Users are responsible for keeping their API keys secure.
  • Rate limits may be enforced to ensure service stability.
  • Excessive use that impacts system stability may result in temporary or permanent suspension.

8. Limitation of Liability

To the maximum extent permitted by law, Microagents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers and/or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Service
  • Any bugs, viruses, trojan horses, or the like that may be transmitted to or through the Service

9. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the new Terms on this page and updating the "Effective Date" at the top. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions.
